Introduction

Welcome to Perfect Phygital Events L.L.C. ("Perfect Phygital Events", "We", "Us", or "Our"). 

These Event Access Rules (the "Rules") govern Your access to and participation in events which are organized or managed by Us ("Events"). 

By engaging with Our Events—whether by browsing Event details, registering and obtaining access to the Events and/or other Services, or attending Events in person or virtually—You ("You", "Your", or "Participant") confirm that You have read, understood, and agreed to comply with these Rules.

1. Definitions

For the purposes of these Rules, the following terms shall have the meanings assigned to them below:

• Participant: A natural person attending, registering for, or otherwise engaging in an Event, including but not limited to Participants, invited guests, and sponsors.

• Virtual Platform: The digital medium or service used to deliver online or hybrid Events, requiring Participants to meet specified technological requirements.

• Identification Means: Items or credentials issued by Perfect Phygital Events, such as badges, wristbands, or digital access codes, required for Event entry and participation.

• Employees: Representatives, agents, or staff members acting on behalf of Perfect Phygital Events during the Event, including individuals responsible for Event management, security, support, or facilitation.

• Prohibited Items: Items that are not allowed within the Event or Venue, including but not limited to weapons, hazardous materials, illegal substances, and other items specified by the Organizer.

• Announcement: Any official communication or notification made by Perfect Phygital Events regarding an Event on Website or other applicable means of communication. This includes, but is not limited to, details about the Event’s schedule, location, format, requirements, or changes, delivered through the official Website, emails, or other designated channels.

Any additional terms used in these Rules that are not defined here shall have the meanings provided in the Terms and Conditions or the Privacy Notice of Perfect Phygital Events, as applicable.

2. Eligibility

Participation in Events organized by Perfect Phygital Events is limited to individuals who meet the following criteria:

• Legal Age: Participants must be of the legal age of majority in their country of residence (18 years in the UAE unless otherwise specified). Proof of age may be required upon registration or entry to the Event.

• Compliance with Laws: Participants must ensure their participation complies with all applicable local, national, and international laws and regulations. Including, but not limited, Dubai Virtual Asset Regulation, applicable VARA laws and regulations, Regulations on the Marketing of Virtual Assets and Related Activities 2024, the Guidance on the Regulations on the Marketing of Virtual Assets and Related Activities 2024 as provided by the VARA and the Federal Decree-Law No. (6) of 2025 Regarding the Central Bank, Regulation of Financial Institutions and Activities, and Insurance Business as provided by the VARA.

Perfect Phygital Events reserves the right to deny participation or entry if these requirements are not met.

3. Event Access

Access to Events organized by Perfect Phygital Events is granted only to Participants who meet the eligibility criteria outlined in these Rules and have completed any necessary registration processes.

Documentation and Identification. Participants must present the following documents for admission:

• A valid confirmation of access to the Event, invitation or other form of authorization as specified by the Perfect Phygital Events in the Announcement or other Event advertisement.

• Government-issued photo identification or other proof of identity if required.

For Events designated as free entry, no documentation may be required, provided such conditions are explicitly stated in the Announcement or other Event advertisement.

Event-Specific Access. Access conditions may vary based on the Event type (e.g., in-person or virtual) and will be communicated in the Announcement, during the registration process or in an Event-specific materials. 

Virtual Event Access. For virtual Events, Participants may be required to use designated platforms and meet minimum technical requirements.

Non-Transferability. Accesses, passes, or other authorization materials are strictly non-transferable unless explicitly permitted by Perfect Phygital Events. Any unauthorized transfers may result in denial of entry.

Right to Deny Entry. Perfect Phygital Events reserves the right to deny admission to any Participant at its sole discretion, including but not limited to cases of:

• Failure to meet the eligibility or identification requirements.

• Violation of these Rules or Event-specific guidelines.

• Actions that pose a security risk or disrupt the Event.

  
  

4. Security

Perfect Phygital Events is committed to ensuring the safety and security of all Participants at its Events. To maintain a secure environment, the following measures and guidelines apply:

Identification and Access Control. Participants must wear or display any required Identification Means at all times during the Event. Identification Means are strictly personal and may not be shared or transferred.

Security Screenings. For an in-person Events, bags and personal items may be subject to inspection at entry points or randomly during the Event. Perfect Phygital Events reserves the right to deny entry to any Participant refusing such inspections.

Prohibited Items. Participants are prohibited from bringing the following items into the Event:

• Weapons or items that could be used as weapons.

• Hazardous materials or substances.

• Illegal drugs or controlled substances.

• Alcohol or tobacco products unless specifically permitted by the Event rules.

• Any other items deemed inappropriate or unsafe by the Organizer.

  
  

Behavior and Conduct. Participants must comply with instructions given by Employees at all times. Any behavior that poses a risk to the safety of others or disrupts the Event may result in immediate removal without refund.

Reporting Incidents. Participants are encouraged to report any suspicious activity, unattended items, or security concerns to Event staff or security personnel immediately.

Virtual Event Security. For virtual Events, Participants must:

• Use only authorized platforms and credentials to access the Event.

• Refrain from sharing access links or credentials with unauthorized persons.

  
  

5. Event Code of Conduct

Perfect Phygital Events is dedicated to fostering a welcoming, respectful, and inclusive environment for all Participants. To ensure a positive experience, the following Code of Conduct applies:

Expected Behavior. Participants are expected to:

• Treat all individuals with respect and professionalism, regardless of their background, beliefs, or identity.

• Follow instructions and guidelines provided by Event staff and security personnel.

• Use Event Venue and resources responsibly and appropriately.

  
  

Prohibited Behavior. The following behaviors are strictly prohibited and may result in immediate removal from the Event without refund:

• Any form of verbal, physical, or visual harassment, including offensive comments or gestures related to gender, race, religion, sexual orientation, or disability.

• Physical aggression, threats, or any action that endangers the safety of others.

• Actions that interfere with the orderly conduct of the Event, including excessive noise, unauthorized advertising, or protests.

• Bringing weapons, illegal substances, or other banned items to the Event.

• Capturing photos, videos, or audio of the Event without prior consent, especially in restricted areas or during confidential sessions.

  
  

 Alcohol and Substance Use.

• Alcohol consumption is permitted only in designated areas and in accordance with local laws.

• Participants under the influence of alcohol or substances that impair behavior may be denied entry or removed from the Event.

  
  

Reporting Misconduct. Participants who witness or experience unacceptable behavior are encouraged to report it to Event staff or security personnel immediately. Reports will be handled with confidentiality and care.

Organizer’s Rights. Perfect Phygital Events reserves the right to take appropriate actions, including but not limited to:

• Issuing verbal or written warnings.

• Revoking access to the Event without refund.

• Reporting incidents to law enforcement or other authorities, if necessary.

  
  

6. Assumption of Risk

By participating in Events organized by Perfect Phygital Events, You acknowledge and accept the following risks:

Voluntary Participation. Your attendance at the Event is entirely voluntary, and You assume full responsibility for any risks associated with Your participation, including but not limited to:

• Physical injury.

• Damage to or loss of personal property.

• Emotional distress or discomfort.

  
  

Health and Safety Risks. You understand that participation in Events may involve health and safety risks, including:

• Exposure to communicable diseases, such as COVID-19.

• Accidents or incidents occurring at the Event Venue.

• Risks associated with large gatherings or crowd dynamics.

You agree to adhere to all health and safety guidelines, including those provided by Perfect Phygital Events, Venue management, or local authorities.

Acknowledgment of Guidelines. You acknowledge that Perfect Phygital Events has taken reasonable precautions to create a safe environment. However, You understand that:

• Risks cannot be entirely eliminated.

• Perfect Phygital Events is not responsible for injuries or damages resulting from factors beyond its reasonable control.

  
  

Virtual Events. For virtual Events, You are responsible for ensuring that Your equipment and internet connection meet the requirements for participation. Perfect Phygital Events is not liable for technical failures or disruptions beyond its control.

Release of Liability. 

By attending the Event, You waive any claims against Perfect Phygital Events, its employees, agents, and partners for injuries, damages, or losses arising from Your participation, except in cases of gross negligence or intentional misconduct on Our side.

By attending the Event, You confirm that You have read and understood this section and voluntarily accept the associated risks.

7. Limitation of Liability

Perfect Phygital Events is committed to providing a safe and enjoyable experience. However, to the fullest extent permitted by law, the following limitations of liability apply:

General Limitation. Perfect Phygital Events, its employees, agents, and partners shall not be held liable for:

• Any indirect, incidental, or consequential damages, including but not limited to loss of profits, goodwill, or data, arising from Your participation in the Event.

• Any damages resulting from circumstances beyond Perfect Phygital Events’ reasonable control, including but not limited to acts of God, government actions, pandemics, or technical failures.

  
  

Event-Related Liability. Perfect Phygital Events assumes no responsibility for:

• Injuries, losses, or damages incurred at the Event unless caused by gross negligence or willful misconduct.

• Loss or theft of personal belongings during the Event.

  
  

Third-Party Services. Perfect Phygital Events may engage third-party vendors or service providers for Event-related activities (e.g., catering, security, technology platforms). To the extent permitted by law, Perfect

Phygital Events is not liable for:

• Actions or omissions of these third parties.

• Any issues arising from services provided by these third parties.

  
  

Virtual Events. For virtual Events, Perfect Phygital Events is not responsible for:

• Internet connectivity issues, software malfunctions, or device incompatibility.

• Unauthorized sharing or misuse of Event links, credentials, or other access methods.

  
  

Aggregate Liability. To the extent permitted by applicable law, the total aggregate liability of Perfect Phygital Events for any claims arising out of or related to Your participation in the Event is limited to the amount paid by You for the Event.

Disclaimer of Warranties. Perfect Phygital Events provides Events on an "as-is" basis and makes no representations or warranties regarding:

• The accuracy, quality, or fitness of Event content for any particular purpose.

• The availability of uninterrupted access to Events, whether physical or virtual.

  
  

By participating in the Events, You agree to these limitations of liability and waive any claims against Perfect Phygital Events that are inconsistent with this section.

8. General Provisions

Application. These Rules apply to all forms of participation, including but not limited to:

• Regular Events: Access granted through the purchase or acquisition of access to the in-person Events.

• Complimentary Access: Participation in Events offered free of charge, where compliance with these Rules remains mandatory.

• Virtual Events: Events hosted online through digital platforms, with specific technological and participation requirements as communicated by Us.

• Private or Partner-Managed Events: Exclusive or collaborative Events organized by Perfect Phygital Events, including VIP gatherings and partner Events.

  
  

Governing Law: These Rules shall be governed by and construed in accordance with the law of the Emirate of Dubai and the Federal Laws of the UAE. The relevant court of the UAE shall resolve all disputes arising in connection with these Rules.

Amendments and Modifications: Perfect Phygital Events reserves the right to amend or modify the terms of these Rules at any time. Continued attendance at Our Events after any changes constitutes acceptance of the revised Rules.

Severability: If any provision of these Rules is invalid, ineffective, unenforceable, or illegal for any reason, such shall not affect the validity or enforceability of any or all of the remaining provisions hereof. The Parties agree that should any provision of this Rules be invalid or unenforceable, they shall promptly enter into good faith negotiations to amend such provision in such a way that, as amended, it is valid and legal and, to the maximum extent possible, carries out the original intent of the Parties as to the issue or issues in question.

Waiver: The failure of Perfect Phygital Events to enforce any provision of these Rules shall not be deemed a waiver of such provision or the right to enforce it at a later time. Any waiver must be in writing and signed by the authorized representative of the waiving party.

Assignment: The Customer may not assign or transfer its rights or obligations under these Rules without the prior written consent of Perfect Phygital Events. The Perfect Phygital Events may assign its rights and obligations under these Rules at any time without prior notice.
